These Terms & Conditions ("Terms") govern your access to and use of havacrop.com, including all content, functionality, and services offered on or through the Site by HavAcrop Farms Private Limited ("Havacrop," "we," "us," or "our"), and its brand Locaroots. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

About Havacrop and Locaroots

Havacrop is an Urban Food Infrastructure company. We design, build, and operate urban farm infrastructure — using controlled-environment and hydroponic growing methods as part of that infrastructure, not as our sole identity — for real estate developers, government bodies, residential communities, schools, institutions, and other partners. Locaroots is Havacrop's consumer-facing brand, connecting the farms, produce, and communities that Havacrop's infrastructure supports.

References to "Havacrop" in these Terms include Locaroots and any other brand Havacrop operates through the Site, unless stated otherwise.

Eligibility

You must be at least 18 years old, and authorized to act on behalf of any organization you represent, to submit an inquiry or otherwise use the Site's interactive features.

Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation.
• Submit false, misleading, or fraudulent information through any form on the Site.
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems.
• Use automated means (bots, scrapers, crawlers) to access or extract data from the Site without our prior written consent.
• Interfere with or disrupt the Site's operation, security, or availability.
• Use the Site's forms to send unsolicited commercial messages (spam) to Havacrop or any third party.

Inquiries and Forms

Submitting a Farm Conversation or General Inquiry form does not create any contractual, commercial, or exclusive obligation between you and Havacrop. We review every inquiry, but we do not guarantee a response time, a specific outcome, or that we will pursue any particular inquiry. You are responsible for the accuracy of the information you submit, and for obtaining any internal authorization needed to share it with us.

Intellectual Property; Trademarks

All content on the Site — including text, graphics, photographs, logos, images, page design, layout, and underlying code — is owned by or licensed to Havacrop and is protected by applicable copyright, trademark, and other intellectual property laws. You may view and print pages of the Site for your own personal, non-commercial reference only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any part of the Site without our prior written permission.

"Havacrop," "Locaroots," the Havacrop and Locaroots logos, and any associated names, taglines, and visual marks appearing on the Site (the "Marks") are trademarks of HavAcrop Farms Private Limited, whether or not registered, and may not be copied, imitated, or used, in whole or in part, without our prior written consent. This includes using the Marks, or anything confusingly similar to them, in domain names, social media handles, business or product names, marketing or pitch materials, or in any manner that states or implies Havacrop's sponsorship, endorsement, or affiliation with any product, service, or entity.

Unauthorized use, reproduction, or misappropriation of the Site's content or the Marks is a violation of these Terms and of applicable intellectual property law. Havacrop reserves the right to pursue all available legal remedies against any responsible party, including injunctive relief and recovery of damages and legal costs. Such misuse is also covered by the Indemnification section below.

Third-Party Services and Links

The Site uses or links to third-party services, including Google Maps/Places (for the Site Location field) and LinkedIn. These services are governed by their own terms and privacy policies, which we encourage you to review. We are not responsible for the content, accuracy, or practices of any third-party service.

Proof Metrics and Performance Statements

Any performance figures, proof metrics, or comparative statements referenced on the Site (for example, regarding water use, land efficiency, yield, or carbon absorption) are illustrative and based on Havacrop's own project experience and modelling. Performance outcomes may vary based on site conditions, crop mix, operating model, governance, and implementation quality. Nothing on the Site constitutes a guarantee of any specific outcome for your project.

No Warranties

The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free. Havacrop does not warrant the accuracy or completeness of any content on the Site.

Limitation of Liability; No Financial Liability

To the fullest extent permitted by applicable law, Havacrop, its officers, directors, employees, affiliates, and associated brands (including Locaroots) shall bear no financial liability of any kind to you arising out of or in connection with your access to or use of (or inability to access or use) the Site, including without limitation any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, regardless of the legal theory on which a claim is based (contract, tort, statute, or otherwise), even if we have been advised of the possibility of such damages.

This exclusion applies to the maximum extent permitted under applicable law. Only where applicable law does not permit a particular liability to be excluded is Havacrop's liability for that matter limited to the minimum extent required by that law, and no further.

No Liability for Data Breach or Security Incidents

Havacrop takes reasonable, industry-standard measures to protect information submitted through the Site, as described in our Privacy Policy. However, no method of electronic transmission or storage — including those used by Havacrop's third-party service providers — is completely secure, and Havacrop cannot guarantee that unauthorized access, hacking, data breach, or leak of information will never occur.

To the fullest extent permitted by applicable law, Havacrop shall bear no financial liability or indemnity obligation for any unauthorized access to, disclosure of, alteration of, or loss of data arising from a data breach, cyberattack, or other security incident affecting the Site or any third-party service provider. Havacrop's obligations in connection with any such incident are limited strictly to what is mandatorily required under applicable law (including India's Digital Personal Data Protection Act, 2023, and rules made under it) — no additional contractual liability, financial or otherwise, is assumed beyond that.

Indemnification

You agree to indemnify, defend, and hold harmless Havacrop, its officers, directors, employees, affiliates, and associated brands (including Locaroots), from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• your access to or use of the Site;
• your violation of these Terms;
• any information you submit through the Site that is false, misleading, or infringes the rights of any third party;
• your violation of any applicable law or the rights of any third party; or
• your unauthorized use, reproduction, or misappropriation of Havacrop's or Locaroots' trademarks, logos, or other content protected under the "Intellectual Property; Trademarks" section above.

Confidentiality of Submitted Information

We treat the information you submit through our forms as confidential business communication and handle it in line with our Privacy Policy. However, submitting an inquiry does not create a formal non-disclosure obligation on Havacrop's part unless separately agreed in writing — for example, through a signed NDA as part of a specific engagement.

Suspension and Termination

We may restrict, suspend, or terminate your access to the Site, in whole or in part, at any time and without notice, if we believe you have violated these Terms or applicable law, or for any other reason at our discretion.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Havacrop regarding your use of the Site, and supersede any prior agreements or understandings on this subject.

Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.
